Company
Secretary
Responsible
for ensuring compliance with the Companies Act, managing ROC/MCA filings,
statutory registers, Board/AGM/EGM meetings, and corporate governance
requirements.
Key
Responsibilities
- Handle MCA/ROC filings including
AOC-4, MGT-7, DIR-12 and INC forms.
- Ensure timely and accurate
statutory filings.
- Organize Board Meetings, AGM,
EGM and Committee Meetings.
- Prepare notices, agendas,
resolutions and minutes.
- Maintain statutory registers,
share certificates and related records.
- Monitor Companies Act, MCA
notifications and regulatory changes.
- Ensure compliance with Companies
Act 2013, Secretarial Standards, FEMA/SEBI as applicable.
- Support funding, lender due
diligence and legal activities.
- Coordinate with auditors, legal
counsels, government authorities, banks and institutions.
- Provide secretarial and
corporate governance advice to management.
